From emerging managers launching their first funds to institutional managers responsible for multibillion-dollar fund platforms, we advise all types of hedge fund and private investment fund clients. This includes funds that invest globally in virtually any financial asset that can be readily traded. We also serve specialty niche funds with narrowly defined investment strategies that invest in loans, distressed debt, digital assets, derivatives, commodities, futures, and illiquid securities.
Our attorneys assist family offices in deploying and managing their alternative investments, as well as in the creation and structuring of their family offices. We are experienced in all matters arising under the Investment Company Act of 1940 and the Investment Advisers Act of 1940. We counsel registered investment companies on the creation of new products and their marketing and distribution, governance matters, obtaining exemptive, no-action and other relief from regulators, negotiating and structuring investments in financial instruments, mergers and acquisitions, and a wide array of other matters.
We assist investment advisers with all legal, compliance and regulatory matters arising under federal and state securities laws, particularly all aspects of the Investment Advisers Act of 1940. We routinely assist with investment adviser registration, structuring new services, advisory contracts and other documents, and regulatory compliance procedures.
Our national SBIC practice provides cost-effective solutions for SBICs in fund formation, licensing, regulatory matters, and investment activities. To date, we have helped more than 285 clients obtain licenses as SBICs.
As one of the oldest and largest SBIC practices in the United States, we work closely with the Small Business Investor Alliance (SBIA) and the Small Business Administration (SBA) to constantly improve program policies that we helped to create decades ago. The firm has assisted SBA in developing several of its form documents and has helped SBIA prepare a number of its legislative and regulatory initiatives.
