As one of the oldest and largest SBIC practices in the U.S., we work closely with the Small Business Investor Alliance (SBIA) and the Small Business Administration (SBA) to constantly improve program policies that we helped to create decades ago. The firm assisted SBA in developing several of its form documents, and has helped SBIA prepare a number of its legislative and regulatory initiatives. We regularly sponsor seminars on the formation and operation of SBICs and present on SBIC topics for audiences, including prospective investors, accountants, attorneys, development officials, venture capitalists, and other business professionals.
Troutman Pepper is also proud to support WINC, SBIA's Women Investors Networking Council. WINC is chartered to facilitate, expand, and develop opportunities for women investors in and around the SBIC program.
We help prospective SBICs in structuring their funds and raising private capital. With a national perspective and extensive experience in negotiating relationships between principal fund managers and between fund sponsors and limited partners, we advise clients on all aspects of fund formation; management, including domestic and foreign tax structuring; ERISA; and compliance with federal and state securities laws.
We have helped more than 285 clients obtain licenses as SBICs. In addition, we represent numerous management teams in the process of fundraising or obtaining a license. These clients are limited partnerships, corporations and limited liability companies, and have investors that include large public and private pension funds, state and local governmental agencies, banks and bank holding companies, tax-exempt entities, individuals, and foreign individuals and entities.

Our clients have invested at all stages of development of portfolio companies, including seed and early-stage, growth, mezzanine, and buyouts. Clients have invested across all industry sectors, including e-commerce, biotechnology, health, telecommunications, information technology, manufacturing, distribution, outsourcing, publishing, and retail.
We have helped companies grow from their initial incorporation and negotiation of their initial small contracts into large multinational businesses. We advise on strategic alliances, technology licenses, incentive compensation plans, protection of intellectual property, personnel matters, securities compliance, relationships with suppliers and customers, banking and other financial relationships, and creditor rights matters. Our team collaborates with attorneys in our securities practice to handle public offerings on behalf of issuers and underwriters.
