We help them structure, negotiate, and document acquisitions, mergers, divestitures, joint ventures, and other strategic alliances, including in domestic and cross-border transactions. Our attorneys also help clients resist or prosecute hostile takeovers, proxy contests, and other unsolicited acquisition attempts. We work collaboratively with our veteran trial attorneys who have years of experience in the strategies and tactics used in hostile bids, and who are adept in handling such high-stakes deals. We also advise on design and implementation of shareholder rights (poison pill) plans, standstill agreements, defensive charter and bylaw provisions, specific strategic and tactical advice, and interpretation and creative use of state statutory anti-takeover provisions.
Our mergers and acquisitions teams are deal-specific and staffed with practitioners in key areas, such as corporate governance, securities, tax, intellectual property, Committee on Foreign Investment in the United States (CFIUS), antitrust, labor and employment (including executive compensation and employee benefits), regulatory, litigation, real estate, finance and bankruptcy, and environmental, among others.
Many of our technology-oriented corporate clients enter into technology licensing agreements, joint ventures, or strategic partnerships. We work closely with client leadership, in-house legal department personnel, and our clients’ outside advisors, providing advice during all phases of the transaction — from structuring the deal to conducting legal due diligence, negotiating and drafting transaction documents, assisting with regulatory approvals and third-party consents, closing the transaction, and addressing post-closing matters.
We also have experience with special purpose acquisition companies (SPACs) that are formed specifically to raise capital for an IPO. The proceeds from that offering are directed to the acquisition of an existing company, or a series of acquisitions. While SPACs have been used for many years, they have been much more prevalent recently. Our attorneys have been involved in the formation of SPACs as well as representing parties on both the buy and sell side in transactions with SPACs. Our attorneys also understand Securities and Exchange Commission matters related to SPACs.
