We work with national and regional lenders in all aspects of asset-based credit facilities. While we pride ourselves on our extensive knowledge of evolving terms, trends and practices, our main priorities are to advise our lender clients of the risks and benefits of changes to terms and structures, offer them practical solutions, and work with their borrowers to ensure that our clients develop and maintain a strong cooperative working relationship with their clients.
Our finance and restructuring practice is strategically located in major markets across the U.S., and we handle transactions in all 50 states. We also work extensively with counsel outside the U.S. on transactions all across the world.
We represent international, national, and regional banks and commercial finance companies in single-lender, club and syndicated transactions across the entire spectrum of asset-based loan transactions, including working capital facilities, employee stock ownership plan loans, and acquisition financings. We regularly close transactions in a wide range of industries such as technology, private equity and venture investment, equipment leasing, health care, government contracting, consumer products, life sciences, private wealth, telecommunications, retail, the service industry, and manufacturing.
We have significant experience advising clients in complex transactions, including leveraged buyouts, factoring, letter of credit facilities, first lien and second lien structures, mezzanine and unitranche loans, and cross-border and multicurrency credit facilities. We manage the entire loan process from origination to closing, including structuring the transaction and negotiating term sheets, reviewing and commenting on credit approvals, performing due diligence, preparing and negotiating documentation, creating and perfecting security interests in all types of assets, and handling the closing process. We also provide legal advice on managing and restructuring problem credits, enforcing creditor rights, and structuring, documenting, and implementing debtor-in-possession, and exit financings.
