We represent major U.S. banks and lenders on venture capital and private equity fund financings and debt transactions. We are well versed in advising our clients on how to configure credit facilities to address a complex array of the various structures that private equity, venture capital funds, and management companies deploy, including blocker funds, feeder funds, master funds, alternative investment vehicles, and other special purpose entities. We have experience with a wide variety of fund finance structures and loan parties including capital call and subscription based secured and unsecured lines of credit, management company and GP loans, both bilateral and syndicated transactions, real estate and non-real estate funds, and foreign and domestic loan parties. The Fund Finance team works seamlessly with the firm’s other practices including fund formation, tax, ERISA, and financial regulatory practices.
With our extensive experience in nearly every aspect of the private equity and venture capital fund financing industries, we provide our clients with valuable guidance on how to structure these types of financing transactions and how to navigate complex issues that may arise during the underwriting, due diligence, or documentation phases of such transactions.
