Lenders and venture debt financing clients in the technology space rely on us for all aspects of their financing transactions with early, middle, and late-stage technology companies. Our experience over the past 25 years handling transactions - valued at more than $20 billion - positions our team as one of the premier tech and venture lending practices in the United States.
We advise clients on the risks and benefits of changes to terms and structures, offer practical solutions, and help them develop and maintain strong and cooperative working relationships with their borrowers. Clients also turn to us for our extensive knowledge of evolving terms and for the latest trends and practices.
Our clients include banks, venture debt funds and other non-banking entities that provide financing to early, middle- and late-stage technology companies, as well as venture capital funds and private equity firms that focus on investing in such companies.
We regularly handle deals involving companies that specialize in a variety of technologies:
We provide guidance to tech lending and venture debt financing clients whose loan facilities are often structured for borrowers that are not yet profitable, or lack significant assets to use as collateral. These deals often include warrants to purchase stock, the right to invest in future equity rounds, or a tech borrower's intellectual property. We are also well versed in structuring capital call facilities with venture capital funds that often invest in the same technology companies that seek financing from our tech lending and venture debt financing clients.
We offer considerable experience handling transactions involving accounts receivable-based lines of credit, non-formula lines of credit, "recurring revenue" lines of credit, "venture debt" term loans, equipment term loans and growth capital loans. We also advise on complex intellectual property and securities issues that may arise during the underwriting, due diligence, or documentation phase of such transactions.
